Terms of Service

1. The service
TwBase is a business management platform — CRM, unified inbox (email, web chat, WhatsApp, SMS), invoicing and payments tooling, bookings, landing pages, social publishing, advertising tools, finances and AI assistance — provided as a subscription service ("the Service"). By creating an account or using the Service you agree to these Terms.
2. Accounts & teams
You are responsible for your account credentials and for all activity under your account, including team members ("delegates") you invite and the permissions you grant them. You must provide accurate information and be legally able to enter this agreement.
3. Bring-your-own integrations (important)
The Service is a hub for accounts and credentials that belong to YOU. When you connect your own email mailbox (IMAP/SMTP, Google or Microsoft), your own Stripe account, Meta assets (WhatsApp Business, Facebook, Instagram, Ads), Twilio, Google services, your own AI provider keys, your own domains, or any other integration:
- Those accounts remain yours, under your direct agreements with each provider (Stripe, Meta, Google, Microsoft, Twilio, Anthropic/OpenAI, your registrar, etc.). Their terms, policies and fees apply to you directly.
- You are responsible for keeping those accounts in good standing and for complying with each provider's policies (e.g., Meta's WhatsApp Business and advertising policies, card-network and state rules on surcharges, email anti-spam rules, telemarketing/SMS consent rules such as TCPA, CAN-SPAM and equivalents).
- We are not responsible for suspensions, restrictions, fees, holds or losses imposed by those providers on your accounts.
- We store your integration credentials encrypted and use them only to operate the features you enabled. You can disconnect any integration at any time.
4. Payments you collect from your clients
Payments from your clients (invoices, deposits, payment links, bookings) are processed by your own payment processor (e.g., your Stripe account) and settle directly to you. TwBase is not a payment processor, money transmitter or party to those transactions; we provide the tooling (invoices, links, reconciliation, fee accounting). Processor fees (including card, Klarna/Afterpay or similar methods you enable) are set and charged by your processor. Any surcharge you configure is your decision and your responsibility under the card-network rules and the laws of your jurisdiction. Refunds, chargebacks and disputes with your clients are between you, your client and your processor.
5. Your data & your clients' data
Your business data (your clients, conversations, invoices, finances, files, catalog) belongs to YOU. You are the data controller for the personal data of YOUR clients that you bring into the Service; you are responsible for having a lawful basis and any required consents to store and contact them. We process that data only to provide the Service, as described in the Privacy Policy. You can export your data or delete your account at any time from your settings.
6. Automated messaging & campaigns
The Service can send messages on your behalf (email replies and campaigns, WhatsApp, SMS, web chat, reviews requests, reminders). You are the sender and responsible for the content, the recipients and the required consents. Automated/AI replies identify themselves as automated where the Service adds that notice; do not remove legally required notices. We include anti-abuse protections (rate pacing, backoff, opt-outs) and may pause sending that risks deliverability or violates policy.
7. AI features
AI features (drafting replies, negotiating within the price ranges YOU configure, proposing packages from YOUR catalog, generating content, categorizing finances) act on your configuration and your instruction. AI output can be wrong. You are responsible for supervising communications and commitments made to your clients, for the prices and ranges you configure, and for reviewing invoices before relying on them. Where you connect your own AI provider keys, usage is billed by that provider to you under their terms.
8. Public pages you publish
Booking pages, landing pages, client portals and any content you publish through the Service (including on your own domains) are your content. You are responsible for its accuracy and legality (including prices, offers and claims). We may remove content that is unlawful or abusive.
9. Subscriptions & billing
Paid plans renew monthly until canceled. You can cancel anytime from your billing portal; access continues until the end of the paid period. Prices may change with at least 30 days' notice. Taxes may apply. Failed payments may result in suspension after notice.
10. Acceptable use
No spam, unlawful content, deceptive practices, abuse of sending features, attempts to breach security, or reselling of the Service without authorization. Repeated violations may lead to suspension.
11. Availability & support
We aim for high availability but the Service is provided "as is" and "as available", without warranty of uninterrupted or error-free operation, and without warranties of merchantability, fitness for a particular purpose or non-infringement. Third-party integrations may change or fail outside our control.
12. Liability
To the maximum extent permitted by law, our aggregate liability is limited to the amounts you paid us in the 3 months before the claim. We are not liable for indirect, incidental, special or consequential damages, lost profits, or losses caused by third-party providers, your configurations, or content you or your AI-assisted tools send.
13. Indemnification
You will defend and hold TwBase harmless from third-party claims arising from your content, your campaigns and messages, your use of connected third-party accounts, your pricing/surcharge decisions, or your violation of these Terms or of applicable law.
14. Termination
You may stop using the Service anytime. We may suspend or terminate accounts that materially breach these Terms, with notice where practicable. Upon deletion, your data is removed per the Privacy Policy retention rules.
15. Governing law
These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law rules; exclusive venue is the state or federal courts located in New York.
16. Changes
We may update these Terms; material changes require re-acceptance in-app (versioned). Continued use after acceptance constitutes agreement.
